Contract review

1. Scope must be named

  • Target URLs, markets, products, verticals, languages, and buyer segments are listed.
  • Buyer prompts and comparison questions are defined before content production starts.
  • Competitors, alternatives, citation sources, directories, and partner assets are named.
  • Strategy, software, consulting, agency execution, technical fixes, content, PR, and paid media are separated.

2. Deliverables must be inspectable

  • Prompt set, baseline screenshots, citation gap, entity facts, comparison matrix, and proof backlog.
  • Page edits, schema suggestions, answer-ready sections, FAQs, buyer objections, and CTA recommendations.
  • Weekly or monthly report that ties findings to shipped changes, not vanity metrics only.
  • Final handoff that another operator can verify without trusting a black box.

3. Guarantees need boundaries

  • No guaranteed rankings, AI answer inclusion, ChatGPT citations, traffic, leads, revenue, sales, or ad ROI.
  • No claim that the vendor controls model outputs, search rankings, AI citations, or third-party editorial decisions.
  • No hidden "performance" language that turns a best-effort deliverable into an impossible guarantee.
  • Clear distinction between controllable work and uncertain external outcomes.

4. Payment should follow milestones

  • Start with a diagnostic, pilot, or small sprint before a large retainer.
  • Milestones should map to delivered evidence: baseline, backlog, edits, report, handoff, and review.
  • Paid directories, backlinks, ads, creators, or PR placements need separate written budget approval.
  • Cancellation, pause, refund, revision, and data export terms should be visible before signing.

5. CRM and lead handling must be real

  • Define the lead form, webhook, CRM fields, lead score, owner, response SLA, and backup path.
  • Separate synthetic tests from real inbound leads and account-authorized exposure.
  • Require evidence for posts, submissions, DMs, backlinks, CRM writes, and lead follow-up.
  • Do not count generated email drafts, local test rows, or no-account syndication as real leads.

6. Reporting should be falsifiable

  • Before/after prompts, model/date, source links, competitor mentions, and page changes are recorded.
  • Reports show what changed, what did not move, what evidence is missing, and what to test next.
  • Ranking, citation, and traffic claims include source, date, query or prompt, and screenshot or URL evidence.
  • Every "win" can be audited later by a buyer, operator, or finance stakeholder.
Safer contract shape

Use a two-step contract: diagnosis first, execution second.

The safest first AI SEO purchase is usually not a 12-month retainer. Start with one URL set, one buyer prompt set, one competitor set, one proof backlog, one reporting baseline, and one CRM handoff plan. If the diagnostic proves the gap and the vendor communicates clearly, then buy implementation.

Copy-ready contract questions

  • Which exact URLs, prompts, competitors, and proof gaps are included in the first milestone?
  • Which outcomes are explicitly not guaranteed?
  • What evidence will prove each deliverable was completed?
  • What budget is excluded from the fee, especially ads, directories, PR, creators, tools, or backlinks?
  • How will real leads be captured, stored, scored, followed up, and exported?
  • What happens if the first diagnostic shows the opportunity is weak?
